ColChiTex LLC Terms & Conditions

These terms and conditions apply to all custom printing and engraving services provided by ColChiTex LLC. By accessing our website, placing an order, or using any ColChiTex LLC services, you agree to be bound by these Terms & Conditions. 

Use of Website

You agree not to use our website for any unlawful purpose, including but not limited to fraud, intellectual property infringement, or unauthorized access. ColChiTex LLC reserves the right to suspend or refuse service for misuse of the website or services.

1. Intellectual Property & Licensing

1.1. By submitting any designs, logos, text, images, or other content (“Content”) for production, you represent and warrant that you own all necessary rights, licenses, and permissions for that Content.

1.2. You agree that the Content does not infringe upon, violate, or misappropriate any third-party rights, including copyright, trademark, or other intellectual property rights.

1.3. You assume full responsibility for any claims arising from the use of your submitted Content. You agree to indemnify and hold ColChiTex LLC harmless from any claims, damages, liabilities, or costs resulting from your breach of this section.

1.4. ColChiTex LLC does not verify trademark ownership or licensing permissions for submitted Content and relies solely on customer representations regarding usage rights.

1.5. LaserLok™ is a trademark of ColChiTex LLC. Unauthorized reproduction or resale is prohibited.

2. Content Standards

2.1. ColChiTex LLC reserves the right to refuse any Content deemed hateful, defamatory, obscene, offensive, violent, or otherwise objectionable.

2.2. If ColChiTex LLC determines that submitted Content violates these standards, we may, at our discretion, cancel or modify your order and issue any applicable refunds.

3. Proofing & Approval

3.1. Prior to production, ColChiTex LLC may provide a digital proof or mock-up of your custom design. It is your responsibility to review all details, including layout, spelling, and colors.

3.2. Once you approve the proof, the order moves into production. Any changes requested after approval may incur additional fees and/or delays.

3.3. Customers are responsible for ensuring submitted artwork files are high quality and suitable for production. ColChiTex LLC is not responsible for poor print quality resulting from low-resolution or improperly formatted files provided by the customer.

4. Color & Material Variations

4.1. Due to variations in screen displays, fabric properties, and printing methods, the colors, placement, and finish of the final product may differ slightly from on-screen proofs. These minor variations are not considered defects.

4.2. ColChiTex LLC uses industry-standard techniques and quality materials. Minor deviations in print alignment, texture, or color are normal and acceptable.

4.3. Exact color matching cannot be guaranteed due to differences in monitor calibration, printing methods, substrates, materials, and production processes.

4.4. Many ColChiTex LLC products are handcrafted or custom-produced individually. Slight differences between products may occur and are considered part of the custom manufacturing process.

5. Production Times & Delivery

5.1. Estimated production and delivery times are provided as guidelines and are not guaranteed.

5.2. Delays may occur due to supply shortages, shipping carrier issues, or other unforeseen circumstances. ColChiTex LLC is not liable for any indirect or consequential damages resulting from delayed shipments.

5.3. If a significant delay occurs, ColChiTex LLC will notify you and discuss alternate arrangements if possible.

5.4. Once an order has been handed off to the shipping carrier, ColChiTex LLC is not responsible for delays, loss, or damage caused by the carrier. Customers are responsible for providing accurate shipping information.

5.5. Customers are encouraged to purchase shipping insurance when available. ColChiTex LLC is not responsible for packages marked as delivered by the carrier.

6. Returns, Refunds & Reprints

6.1. Custom products are made to order and are non-returnable and non-refundable.

6.2. If you believe there is a manufacturing defect or an error attributable to ColChiTex LLC, you must contact us within 7 days of delivery with photographic evidence and a description of the issue.

6.3. Upon verification of the defect, ColChiTex LLC may, at our discretion, provide a reprint, replacement, or partial refund.

6.4. Normal wear and tear, minor variations, or customer-provided errors (such as incorrect Content spelling) do not qualify for refunds or reprints.

7. Order Changes & Cancellations

7.1. Cancellations or changes requested before production may be subject to fees based on work already performed.

7.2. Once production has begun, cancellations are not possible, and no refunds will be issued.

8. Payment Terms

8.1. Payment is due as specified at checkout. For custom orders, full payment may be required upfront to begin production.

8.2. ColChiTex LLC reserves the right to withhold delivery of finished products until payment is fully received.

9. Liability & Indemnification

9.1. Except for cases of willful misconduct or gross negligence, the liability of ColChiTex LLC under these Terms shall be limited to the cost of the product(s) in question.

9.2. In no event will ColChiTex LLC be liable for indirect, incidental, or consequential damages.

9.3. You agree to indemnify, defend, and hold ColChiTex LLC harmless from any claims arising from your breach of these Terms or your use of unauthorized Content.

10. Privacy & Data Use

10.1. Personal information collected during the ordering process is governed by our Privacy Policy.

10.2. By placing an order, you acknowledge and accept the collection, use, and storage of your information as described in our Privacy Policy.

11. Governing Law & Dispute Resolution

11.1. These Terms shall be governed by the laws of the State of Texas, United States.

11.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Denton County, Texas.

12. Modifications to Terms

12.1. ColChiTex LLC reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website.

12.2. Continued use of our services after changes are posted constitutes your acceptance of the new Terms.

13. Force Majeure

13.1. ColChiTex LLC shall not be liable for delays or failure to perform resulting from causes beyond our reasonable control, including natural disasters, supply chain disruptions, labor shortages, equipment failures, internet outages, governmental actions, or carrier delays.
